Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PartsTable platform, website (partstable.com), API, and related services (collectively, the "Service") provided by PartsTable ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

PartsTable is an AI-powered IT parts intelligence platform. The Service provides part number normalization, cross-reference expansion, market research, scoring, and quoting tools designed for IT hardware brokers and resellers.

The Service operates as an intelligence layer — it processes, normalizes, and enriches part number data using proprietary algorithms. You may connect your own data sources, inventory systems, and CRM integrations to the platform. PartsTable does not resell third-party data.

2. Eligibility and Accounts

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

2.2 Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorized access.
• Accept responsibility for all activity under your account.

2.3 Account Termination by You

You may close your account at any time by contacting us at support@partstable.com. Upon closure, your access to paid features will end at the close of your current billing period.

3.2 Billing

• Paid subscriptions are billed monthly in advance.
• All fees are in US Dollars and are non-refundable except as required by law.
• We reserve the right to change pricing with 30 days' written notice.
• Failure to pay may result in suspension or termination of your account.

3.3 Overage

API calls exceeding your tier's monthly allocation may be throttled or billed at overage rates disclosed in your account dashboard.

3.4 Free Tier

The Free tier is provided as-is with no service level guarantees. We reserve the right to modify or discontinue the Free tier at any time.

4. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to reverse-engineer, decompile, or extract the source code of any proprietary algorithms, scoring models, or normalization logic.
• Scrape, crawl, or use automated means to extract data from the Service beyond authorized API usage.
• Resell, sublicense, or redistribute the Service or its outputs without written authorization.
• Interfere with or disrupt the integrity or performance of the Service.
• Circumvent rate limits, authentication mechanisms, or access controls.
• Use the Service to build a competing product or service.
• Share API keys or account credentials with unauthorized third parties.
• Submit malicious input designed to manipulate, corrupt, or exploit the platform's intelligence systems.

Violation of these terms may result in immediate suspension or termination of your account.

5. Part Number Accuracy Disclaimer

5.1 Confidence Tiers

The Service provides part number intelligence using a tiered confidence system:

• VERIFIED — Confirmed against OEM manufacturer documentation. Highest reliability.
• PROBABLE — Corroborated by multiple independent data sources. High reliability.
• POSSIBLE — Based on naming conventions or single-source data. Moderate reliability.
• UNVERIFIED — Derived from listing titles or unconfirmed sources. Low reliability.

5.2 No Guarantee of Accuracy

Part number data, cross-references, and substitution recommendations are provided for informational purposes only. While we employ rigorous verification processes, the Service does not guarantee that any part number, cross-reference, substitute, or compatibility recommendation is accurate, complete, or current.

5.3 User Responsibility

You are solely responsible for independently verifying all part number information before making purchasing, quoting, or inventory decisions. PartsTable is not liable for losses arising from reliance on unverified part intelligence. We strongly recommend OEM verification for all business-critical decisions.

5.4 No Warranty of Interchangeability

A cross-reference or substitute recommendation does not constitute a warranty that two parts are physically, electrically, or functionally interchangeable. Different assembly revisions, firmware requirements, carrier locks, and other factors may affect compatibility.

6. Intellectual Property

6.1 PartsTable IP

The Service, including all proprietary algorithms, scoring engines, normalization logic, cross-reference intelligence, user interface designs, and documentation, is the intellectual property of PartsTable. All rights are reserved.

6.2 Your Data

You retain ownership of all data you submit to or connect with the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to process Your Data solely for the purpose of providing the Service to you.

6.3 Aggregate and Anonymized Data

We may use anonymized, aggregated data derived from Service usage to improve platform performance, algorithms, and intelligence quality. Such data will not identify you or any individual user.

6.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

7. Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTSTABLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

7.3 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7.4 Basis of the Bargain

You acknowledge that the limitations in this section reflect a reasonable allocation of risk and are a fundamental basis of the bargain between you and PartsTable.

8. Indemnification

You agree to indemnify, defend, and hold harmless PartsTable, its owner, officers, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Any data you submit to the Service.

9. Termination

9.1 By You

You may terminate your account at any time as described in Section 2.3.

9.2 By Us

We may suspend or terminate your account immediately if:

• You breach these Terms.
• Your use poses a security risk to the Service or other users.
• Your account has been inactive for more than 12 months (Free tier).
• Required by law.

9.3 Effect of Termination

Upon termination:

• Your access to the Service will cease immediately.
• We will make your data available for export for 30 days following termination, after which it may be deleted.
• Sections 5 through 8 and 10 through 13 survive termination.

10. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy and API Terms of Use, constitute the entire agreement between you and PartsTable regarding the Service.
